Company News | The company held the second meeting of the sixth board of directors.

On November 26, the Shanxi Zhongdian Science and Technology Company held the second meeting of the sixth board of directors, chaired by Wei Heng, a member of the Party Committee of the Electric Science and Technology Equipment and the company's chairman.

 

 

The meeting approved eleven proposals, including the implementation of the company's capital increase and share expansion project, the risk assessment report of the capital increase and share expansion project, the proposal for the 'Rules of Procedure for Board Meetings', and the 'Management Measures for Strategic Planning'. During the meeting, the directors reviewed and discussed the proposals in detail, providing opinions and suggestions on corporate governance, capital increase and introduction of strategic investors, risk prevention and control, and key core technologies.

 

Finally, Chairman Wei Heng made three suggestions:

 

 

First, in accordance with the new requirements and changes of the higher-level system of Electric Science and Technology Equipment, timely develop and revise the company's internal control management system. Each specialized committee should deeply participate in the pre-verification according to their respective responsibilities, play a professional gatekeeping role, and provide opinions and suggestions for the company's operational development and board decision-making.

 

Second, pay close attention to the various risks of the capital increase and share expansion project, and actively take effective measures to prevent risks in different areas such as the market and human resources, controlling the impact of risks within an acceptable range and steadily advancing the company's capital operations.

 

Third, continuously improve the corporate governance mechanism, strengthen the construction and standardized operation of the board of directors, lead the company to release new vitality and new momentum, ensure the smooth completion of various key annual tasks, and assist the company in achieving high-quality development.

 

The company's directors attended the meeting, and the management team and heads of relevant departments were present as observers.
